Cigna to Acquire Express Scripts

On March 8th, 2018 Cigna announced they had reached a definitive agreement to acquire Express Scripts. Cigna, one of the nation’s foremost insurance companies and Express Scripts, the nation’s largest pharmacy benefit manager (PBM) will join forces to, in their words, “improve the affordability and value to the consumer in a more personalized way”. This move is also seen as a way to protect themselves against new entries in the health care business such as the Amazon/JP Morgan Chase/Berkshire Hathaway partnership.

This is a move comes in the wake of the CVS/Aetna merger in process currently. By bringing the pharmacy benefit manager (PBM) in house Cigna and other carriers such as the UHC/Optum and the recently announced merger of CVS with Aetna. Like UHC, Blue Cross and Humana currently have their own PBM.

Express Scripts has announced they will continue to offer pharmacy services to other insurers and employers that do not use Cigna.

The deal is now before regulators who have recently taken a dim view of mergers in the healthcare industry. Within the last year the proposed merger between Aetna and Humana as well as the merger of Cigna with Anthem have both failed to pass muster.
